Acquisition What Does it Mean?
In an acquisition, ResCare purchases the assets or stock of the agency from its owners and assumes control of operations. However, there are numerous options. For instance:


If you want to be involved in operating and growing the business with ResCare HomeCare?
ResCare HomeCare will consider employment that leverages your knowledge and experience.
If you want to retain key employees?
ResCare HomeCare will consider accommodating your workforce.
If you want to work part time?
ResCare HomeCare will consider a consulting agreement.
If you want to get out of the business?
ResCare HomeCare will consider securing new management or promoting from within the agency.

An alternative to acquisition is a management contract with ResCare HomeCare. This may be especially appealing to a non-profit agency whose board wants to retain more control over the agency’s mission and direction.


How would this work?

It is essential to know that any discussions with ResCare are handled with the utmost discretion. The acquisition process includes the following steps:

  • identifying each party’s needs
  • signing a confidentiality agreement
  • sharing preliminary or summary information
  • establishing the “value” of the company and its assets
  • structuring the terms and price
  • signing a letter of intent summarizing the transaction
  • performing due diligence and inspections of the company and its operations
  • signing the final agreement between the parties
  • closing the transaction and payment of the purchase price
  • transition of operations to ResCare ownership

ResCare is prepared to respond in a timely manner and expedite this process, but it may also be controlled or stopped by the seller at any time during the discussions.
